Legal Terms Governing the Use of Chemplanet Scientific Solutions' Products and Services

1. Introduction

Welcome to Chemplanet Scientific Solutions (Pty) Ltd ("Company", "we", "our", "us"). These Terms & Conditions govern your use of our website, products, and services. By accessing or using our services, you agree to be bound by these terms.

Important Notice

Please read these terms carefully before using our services. If you do not agree with any part of these terms, you must not use our website, purchase our products, or engage our services.

1.1 Definitions

"Client"
Any individual or entity that purchases products or services from Chemplanet Scientific Solutions.
"Products"
Scientific instruments, laboratory equipment, consumables, and related items sold by the Company.
"Services"
Installation, calibration, maintenance, training, consulting, and other professional services provided by the Company.
"Order"
A formal request for Products or Services submitted by the Client.
"Contract"
The agreement between the Client and the Company comprising the Order, these Terms, and any specific terms agreed in writing.

2. Account & Registration

2.1 Account Creation

To access certain features of our services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

2.2 Account Termination

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms & Conditions
  • Provide false or misleading information
  • Engage in fraudulent activities
  • Remain inactive for an extended period

3. Products & Services

3.1 Product Specifications

All product specifications, descriptions, and images are provided by manufacturers and are subject to change without notice. While we strive for accuracy, we do not warrant that product descriptions are error-free.

3.2 Pricing & Payment

All prices are quoted in South African Rand (ZAR) and are exclusive of VAT, shipping, duties, and taxes unless otherwise stated. Payment terms are as follows:

  1. New Clients: 50% deposit upon order confirmation, balance before delivery
  2. Established Clients: Net 30 days from invoice date
  3. Large Orders: Custom payment terms may be negotiated

3.3 Delivery & Shipping

Delivery times are estimates and not guaranteed. Risk of loss passes to the Client upon delivery. Shipping costs are the responsibility of the Client unless otherwise agreed in writing.

Import & Customs Note

International clients are responsible for all import duties, taxes, customs clearance, and regulatory compliance in their respective countries.

4. Warranty & Returns

4.1 Manufacturer Warranties

Products are covered by manufacturer warranties as specified in product documentation. Warranty claims must be made in accordance with manufacturer requirements.

4.2 Return Policy

Returns are accepted under the following conditions:

  • Defective Products: Within 14 days of delivery with proof of defect
  • Wrong Products: Within 7 days of delivery
  • Special Order Items: Non-returnable unless defective
  • Consumables & Opened Items: Non-returnable for hygiene reasons

4.3 Service Warranty

Services are guaranteed for 90 days from completion. Defects in workmanship will be corrected at no additional charge during the warranty period.

5. Intellectual Property

5.1 Company Intellectual Property

All content on this website, including text, graphics, logos, images, software, and documentation, is the property of Chemplanet Scientific Solutions or its licensors and is protected by copyright and intellectual property laws.

5.2 Client Intellectual Property

Client data, samples, results, and proprietary information remain the property of the Client. We maintain strict confidentiality and do not claim ownership over Client intellectual property.

5.3 Software Licenses

Software provided with instruments is licensed, not sold. Use is subject to the software license agreements provided by the manufacturer.

6. Confidentiality & Data Protection

6.1 Confidential Information

Both parties agree to protect each other's confidential information. Confidential information includes business plans, technical data, customer lists, pricing, and proprietary methodologies.

6.2 Data Protection

We comply with the Protection of Personal Information Act (POPIA) of South Africa. Personal data collected is used only for the purposes specified in our Privacy Policy.

6.3 Data Security

We implement reasonable security measures to protect data. However, we cannot guarantee absolute security and are not liable for unauthorized access beyond our reasonable control.

7. Liability & Indemnification

7.1 Limitation of Liability

To the maximum extent permitted by law, our liability is limited to:

  • The purchase price of the Products or Services in question
  • Direct damages only (excluding consequential, incidental, or special damages)
  • Claims made within 12 months of the cause of action arising

7.2 Indemnification

You agree to indemnify and hold harmless Chemplanet Scientific Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of Products or Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Improper use, modification, or maintenance of Products

Critical Limitation

We are not liable for any damages resulting from misuse, improper installation, unauthorized modifications, or failure to follow manufacturer instructions and safety guidelines.

8. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations due to events beyond reasonable control, including:

  • Acts of God, natural disasters
  • Government actions, regulations, or restrictions
  • Labor disputes, strikes, or shortages
  • Supply chain disruptions
  • Pandemics, epidemics, or health emergencies
  • War, terrorism, or civil unrest

9. Governing Law & Dispute Resolution

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa, without regard to conflict of law principles.

9.2 Dispute Resolution

In the event of a dispute, parties agree to:

  1. Attempt to resolve the dispute through good faith negotiations
  2. If unresolved, proceed to mediation with a mutually agreed mediator
  3. If mediation fails, submit to the exclusive jurisdiction of South African courts

9.3 Legal Costs

The prevailing party in any legal action shall be entitled to recover reasonable attorney's fees and costs from the other party.

10. Amendments & Severability

10.1 Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.

10.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10.3 Waiver

Failure to enforce any right or provision shall not constitute a waiver of such right or provision.

11. Entire Agreement

These Terms, together with any specific agreements, purchase orders, or statements of work, constitute the entire agreement between the parties and supersede all prior agreements, understandings, and representations.
